1. Agreement
By accessing or using Ledgely, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the service.
2. The service
Ledgely is a bookkeeping companion for independents. It helps you log earnings, expenses, mileage, and related records and export reports. Features may change over time.
3. Not professional advice
Ledgely is not a tax advisor, accountant, lawyer, or financial planner. Reports, categories, OCR suggestions, and totals are tools to organize your own records. Tax rules vary by jurisdiction and change over time. You are solely responsible for the accuracy of your records and for any filings with tax authorities. Consult a qualified professional for advice specific to your situation.
4. Accounts
- You must provide accurate account information and keep credentials secure.
- You must be old enough to form a binding contract in your jurisdiction.
- You are responsible for activity under your account.
- We may suspend or terminate accounts that abuse the service, violate these terms, or create risk for other users or our systems.
5. Acceptable use
You agree not to:
- Use the service for unlawful purposes.
- Upload malware or attempt to disrupt, reverse engineer, or overload the service.
- Access another user’s data without authorization.
- Misuse free quotas, storage, or APIs in a way that harms the platform.
6. Your content
You retain ownership of the records and files you submit. You grant us a limited license to host, process, and display that content solely to operate and improve the service (for example, syncing your ledger and optional OCR training with anonymized layout features). You represent that you have the rights needed to upload the content you submit.
7. Plans and fees
Some features may require a paid plan. Prices and limits are shown in the app or on the website and may change. Taxes may apply. Refunds, if any, follow the rules of the store or payment provider used for purchase unless required otherwise by law.
8. Intellectual property
Ledgely branding, software, and site content are owned by us or our licensors. You may not copy or redistribute them except as allowed by these terms or applicable law.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, or that OCR or calculations will be complete or accurate.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR TAX PENALTIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY US DOLLARS (US $50).
11. Indemnity
You will defend and indemnify us against claims arising from your content, your misuse of the service, or your violation of these terms, to the extent permitted by law.
12. Termination
You may stop using Ledgely at any time. We may suspend or end access if you breach these terms or if we discontinue the service. Provisions that by nature should survive (including disclaimers and liability limits) will survive termination.
13. Governing law
These terms are governed by the laws applicable in your primary place of business or residence as determined with counsel for your entity. Courts of competent jurisdiction will resolve disputes, except where mandatory consumer protections apply. Specify governing law and venue with legal counsel before launch.
14. Changes
We may update these terms by posting a new version on this page. Continued use after the effective date constitutes acceptance of the updated terms, except where prohibited by law.
